Dear Ms. Kathy Cassens and Other Friends of Chic Critique,

In light of Ms. Cassen’s expression of concern as posted on Face Book, and in light of additional developments that have occurred, Chic Critique Company, LLC (and Ms. Abbey Kyhl) would like to provide some updated information and explanation.

First, as explained in more detail in a previous communication, at intermittent times over the last few months, and prior to the involvement of Chic Critique Company, LLC and Ms. Abbey Kyhl, the Chic Critique Forum was apparently compromised with malware and adware. When Chic Critique Company, LLC, became aware of the situation, a decision was promptly made not to enable any web site or processes until and unless such could be done with reasonable confidence and legal clarity, and without potentially jeopardizing the privacy and security of any users.

Second, Chic Critique Company, LLC, certainly understands the frustration that Ms. Cassen, and presumably others, are experiencing as a result of the current situation. Chic Critique Company, LLC, is doing what it can to solicit cooperation from Mr. Matthew France, Ms. Kelli France, and France Enterprises, LLC, and to try to address the situation to the satisfaction of all concerned. Hope remains that the Chic Critique Forum will be repaired and then operated again, possibly by the Frances and France Enterprises, LLC. If that occurs, presumably the Frances and France Enterprises, LLC, will reach out to resolve the situation to the satisfaction of Ms. Cassen and other friends of Chic Critique.

Third, it is important to understand that Chic Critique Company, LLC, did not purchase France Enterprises, LLC, or any other business entity/operation owned by the Frances. Instead, Chic Critique Company, LLC, merely entered into an agreement to purchase some business assets from France Enterprises, LLC, a legal entity which continues to be owned and operated by the Frances. In other words, the assets were potentially going to be used in connection with a new business wholly separate from France Enterprises, LLC. The assets to be transferred did not include any funds that may have been paid to the Frances or to France Enterprises, LLC, prior to the date of the asset sale transaction which occurred February 21, 2015. As a result, Chic Critique Company, LLC, does not currently have any of the funds that Ms. Cassen or any other person may have paid at any time to the Frances or to France Enterprises, LLC; all such funds remain with the Frances and France Enterprises, LLC. Fourth, Ms. Abbey Kyhl, acting on behalf of Chic Critique Company, LLC, has already offered access to all of the disputed assets back to the Frances and to France Enterprises, LLC, including without limitation: access to the web sites, web servers, all Paypal and Authorize.net accounts, and electronic business records. Even without any final resolution of the situation, the Frances and France Enterprises, LLC, have already been offered access to the aforementioned information, and indeed they have had an IT contractor reviewing various electronic data and code for several weeks. Ms. Abbey Kyhl, acting on behalf of Chic Critique Company, LLC, has offered the Frances and France Enterprises, LLC, full information and ongoing cooperation as may be needed in any way for the Frances and France Enterprises, LLC, to make refunds to any Chic Critique Forum customers who may have paid any money to the Frances and France Enterprises, LLC. Put another way, Ms. Abbey Kyhl and Chic Critique Company, LLC, are unaware of any external barrier that would prevent the Frances and France Enterprises, LLC, from making refunds to Ms. Cassen or anyone else, even prior to the Frances achieving a final resolution with Ms. Abbey Kyhl and Chic Critique Company, LLC. Ms. Abbey Kyhl, acting on behalf of Chic Critique Company, LLC, promptly took the aforementioned steps well before receiving an expression of concern from Ms. Cassen or any other patron of the Frances and France Enterprises, LLC.

Fifth, Ms. Abbey Kyhl, acting on behalf of Chic Critique Company, LLC, has already refunded all monies that Ms. Abbey Kyhl and Chic Critique Company, LLC, have directly received or collected from anyone. This was done automatically and without waiting for any requests or complaints. As explained above, neither Ms. Abbey Kyhl nor Chic Critique Company, LLC, possess any of the funds that were paid by anyone to the Frances and/or to France Enterprises, LLC. Thus, neither Ms. Abbey Kyhl nor Chic Critique Company, LLC, are holding any funds paid by anyone at any time in connection with the Chic Critique Forum and/or the Frances and France Enterprises, LLC. Accordingly, neither Ms. Abbey Kyhl nor Chic Critique Company, LLC, are, for example, holding any funds of Ms. Cassen, or doing anything to block the Frances and France Enterprises, LLC, from affording a refund to Ms. Cassen if that is what the Frances choose to do. Nor can Ms. Abbey Kyhl or Chic Critique Company, LLC, refund monies they have not received and do not possess. Only the Frances and France Enterprises, LLC, can decide what refunds, if any, will be extended to their customers.

Chic Critique Company, LLC, hopes that this explanation is helpful for those interested in understanding the situation as it currently stands. Chic Critique Company, LLC, appreciates your patience as it continues to attempt to resolve outstanding technical, legal, and business issues with the Frances and France Enterprises, LLC. Chic Critique Company, LLC, will make an effort to provide updated information when it becomes available.

Chic Critique Company, LLC, is writing an important update and explanation to you. Chic Critique Company, LLC, values you and respects the privacy of your information, which is why, as a precautionary measure, Chic Critique Company, LLC is writing to let you know about a data security incident that may have involved your personal information.

As you may be aware, Chic Critique Forum was supposed to be transferred from France Enterprises, LLC, which is owned by Matthew France and Kelli France, to Chic Critique Company, LLC, pursuant to an asset purchase transaction between the two companies. Unfortunately, however, this transfer process (including but not limited to transfer of a functioning web site) has been delayed and it is currently unclear whether it will ever be completed due to some facts that have come to the attention of Chic Critique Company, LLC.

While under the ownership of Matthew France and Kelli France (France Enterprise, LLC), and over the course of several months prior to any involvement of Chic Critique Company, LLC (or Ms. Abbey Kyhl), hackers reportedly began to implement a pattern of activity that compromised Chic Critique Forum with malware and adware. Full information from the Frances and France Enterprise, LLC, has not yet become available, but the data accessed during this time may have included personal information such as your Username, Password, Birth date, and email address. If Chic Critique Company, LLC, understands the Frances and France Enterprise, LLC, correctly, the data accessed did not include any credit card or banking information. Chic Critique Company, LLC currently has no independent information to indicate any credit card or banking information was ever compromised, and is still reviewing the situation.

Chic Critique Company, LLC, has not and will not operate the Chic Critique Forum unless and until, among other things, all issues related to the above matter have been resolved to the satisfaction of Chic Critique Company, LLC in order to protect you and your information. Accordingly, the Chic Critique Forum web site has been disabled, and this will continue until a maintenance review which is still in progress can be completed. It is unclear at this time when and if the Chic Critique Forum will be brought back on line, and if so, whether Chic Critique Forum will at that juncture be operated by Chic Critique Company, LLC, instead of by Matthew France and Kelli France of France Enterprises, LLC.

To the extent, if any, that you may have purchased a yearly membership or other benefits or services from Matthew France and Kelli France of France Enterprises, LLC, please feel free to contact them directly with any questions or requests you may have about such transactions.
